Read Whitfield v. United States, No. 03-1293.
It essentially says that just talking about a plan to break the law, without any overt act in furtherance of that illegal act, is sufficient to impose a conspiracy conviction.
So, I'd say the difference between a conspiracy and a conspiracy theory is whether or not the conspirators talk to each other or just sit around and try to mindmeld.
