If you have noticed, odds are others may have as well, and her job may be at risk. And there are possibilities of a serious health problem here. Could be a blood sugar problem, or a sleep disorder of some kind. It can also be horribly embarrassing to know you have fallen asleep at your desk involuntarily, so hopefully you can talk to her alone without drawing attention from anyone else if at all possible.

Actually, you should discreetly wake her. She might be going through a tough time and sleeping might be difficult.

Daytime sleepiness could be a sign of sleep apnea, or narcolepsy. On the other hand, maybe she partied too hearty last night. On yet the other hand (I have three hands doncha know), some medical studies have shown that taking cat-naps improves the performance of workers. I don't know your co-worker, so I can't judge.
I remember once walking into my office to find the lights off and a colleague with her head on the desk. Since she was normally an extremely hard worker, I decided to let her rest. After a few minutes, she said "Judy, why are you tip-toeing around?" I said something along the lines of I thought she had a migraine, and was trying not to disturb her. She replied that she was hiding. A seriously annoying co-worker was roving the halls, and my friend had no wish to be treated to her obnoxious opinions on everything from sex to religion (sex=bad, religion=good, if it's the right kind. The woman was a Jerry Falwell devotee).
You can't always make assumptions.

She may have a medical issue that is making her so tired. Or, she might be having a difficult personal life that is preventing her from getting enough sleep at night. Either way, I wouldn't play any practical jokes on her. She probably doesn't need the additional stress.

If she's an alright person, I might be inclined to wake her gently and tell her to go get some coffee.
If she's an asshole, I might be inclined to let her sleep and e-mail various members of the upper management staff to come down to our department for a quick briefing on our next launch. Heee! :bounce:

I like her and she's a usually a hard worker, so I won't give her any crap about it. If I saw a boss coming, I would call her name before she got caught.
