URS Corporation Announces Pricing of Secondary Offering of Common Stock by The Carlyle Group
SAN FRANCISCO, CA - URS Corporation (NYSE: URS) announced today that
The Carlyle Group, through its affiliate TCG Holdings, L.L.C., has sold 7,064,033 shares of the Company’s currently outstanding common stock for gross proceeds to such stockholder before expenses of $135,982,635. Morgan Stanley, Credit Suisse First Boston, Lehman Brothers, D. A. Davidson & Co. and Morgan Joseph & Co. Inc. acted as underwriters for the offering. URS has granted the underwriters an option to purchase up to 1,059,605 shares from the Company to cover over-allotments, if any.
Blum Capital Partners, L.P. declined to participate in the sale.
