3. A corporation is a flow through entity ...
created to shield income from taxation. It does not live. It does not breathe. It is merely a way of applying tax deductions which are more favorable than the tax deductions for individual payers who are human. If you are a high income individual or business you take your gross income and make your deductions under the tax rules which apply to corporations. They are very liberal. Then your accountants produce a statement called a k1, which is the income left over which flows through to your 1040. You apply the allowable deductions for wealthy individuals and pay tax on that. Usually at a very low percentage. If the corporation is the flow through entity for a business then the income the individuals are drawing is spread among many K1 statements, each takes their deductions to reduce personal taxable income on their 1040s, and zip zow, magic. All concerned combine their partnership losses, passive activities and other laws which shelter the rich and wind up paying little or nothing.

The corporation files a separate return as a separate entity and after its allowable deductions winds up paying little or nothing in taxes. It is like an elaborate shell game to avoid paying their share of taxes on the huge amounts of income that they earn while those of us in the middle class or the working poor wind up paying a ridiculous amount at much higher tax rate. We can only dream of deductions like these because they don't exist under tax law for us.

This is IRS gobbledy gook. I worked for them auditing for several years and saw many types of flow through entities and many types of tax avoidance by the rich. Corporations are not people. They have no standing as people under tax law, and how it was ever determined that they are is beyond my understanding, just like the way people are forced to suffer to feed the greed of the people who own and form corporations and other flow through entities. I don't think I will ever understand why this was allowed to happen and why no one will simply push back on Congress and throw the bums our. We have had corporations for a long time and sometimes they have been as abusive as this, but people seemed tougher then and fought back harder. It's time for us to start ourselves or we may simply die of neglect.

5. Legally, Corporate Personhood exists.
A lot of things exist legally that defy common sense, I agree.
I find it interesting that "Corporate Personhood" was created by the Supreme Court during the
Robber Baron era of 1886. Actually, there is controversy about the actual opinion of the Court at the time.

I do recommend a glance at the Wiki entry of the birth of Corporate Personhood, which has led to this current ruling.
